1. Who
These terms apply to smedja.nl and to work I, Alex Reinholdsson, carry out through Reinholdsson Media House B.V., De Netelhorst 9C, 8051 KE Hattem, the Netherlands, Chamber of Commerce 96166959, VAT NL867496265B01.
2. What really counts
For every project we make a separate written agreement. It states what I build, what it costs, what is needed per month to keep it running, the term and the notice period. That agreement takes precedence over these terms. A first call and a proposal are free and commit you to nothing.
3. Three lines
Building I invoice once, per phase, at a fixed price agreed up front. Running (hosting, AI usage, monitoring and small repairs) I invoice per month. Extending I invoice per month or per job, apart from running. Nothing is invoiced before you have approved the proposal.
4. Who owns it
Code, hosting accounts, databases and domains are in your company's name from day one. The transfer of rights in what I make for you is in the agreement. What I use from others for the project (open source, providers' services) stays under those others' terms. My own products, such as CreatorScope, Ledgerbox, RoughCut and Race Control, stay mine.
5. What I need from you
Access to the systems or an export, one fixed contact person and time to test. If a project is delayed because those are missing, the plan shifts.
6. Payment
Invoices are paid within 14 days, unless the agreement says otherwise. On late payment I may charge the statutory commercial interest. If an invoice is overdue, the work pauses until it is paid.
7. Liability
I build carefully and test on a copy of your data before anything goes live. If something still goes wrong, my liability is limited to the amount you paid for the assignment concerned. I am not liable for consequential loss or lost profit, except in the case of intent or gross negligence. Outages at providers (hosting, AI models, email delivery) are beyond my control; I make sure there is a fallback path where possible.
8. Confidentiality
What I see of your company stays with me. I only name you as a client on this site if you agree in writing.
9. AI
I use AI models when writing code and, if the project calls for it, in the product itself. What a model writes, I check and test. Where your data goes in that case is in the agreement and in the data processing agreement.
10. Law
Dutch law. Disputes go to the competent court in the Netherlands, after we have first tried to solve them together.
